Explanatory Note

This Current Report on Form 8-K/A is filed as an amendment (“Amendment No. 1”) to the Current Report on Form 8-K filed by Green Plains Inc. (the “Company”) with the Securities and Exchange Commission on May 9, 2017, (the “Original Filing”). The sole purpose of Amendment No. 1 is to disclose the Company’s decision regarding how often it will conduct future stockholder advisory votes on executive compensation. No other changes were made to the Original Filing.

Item 5 .0 7 Submission of Matters to a Vote of Security Holders .

The Original Filing announced the final voting results of the matters acted upon by the Company’s shareholders at its Annual Meeting of Shareholders held on May 9, 2017. On August 16, 2017, the b oard of d irectors determined it will hold a stockholder advisory vote regarding the compensation of the Company’s named executive officers every year,   consistent with the shareholders’ vote on the matter. The Company will maintain the advisory vote annually until the next vote regarding its frequency or until the b oard of d irectors determines a different frequency would be in the best interest of the Company’s shareholders.
